Updated terms will be published on this page with a revised “Last Updated” date. Changes will apply from the effective date stated in the updated terms, subject to applicable law and any separate agreement with a client.
For ongoing paid projects, changes to agreed commercial terms will be handled in accordance with the applicable contract or written agreement.
09 /Governing Law and Jurisdiction
These Terms and Conditions shall be governed by the laws of India, subject to applicable mandatory legal requirements.
Any dispute arising from the use of our website or these Terms shall be subject to the jurisdiction of the competent courts in India, with the specific venue determined in accordance with applicable law and any valid agreement between the parties.
Users accessing our website from outside India are responsible for complying with applicable local laws.
10 /Website Terms and General Legal Provisions
These Terms and Conditions govern your general use of the HDH Tech Solutions website. Where a separate written agreement, proposal, or statement of work applies to a paid service, the specific terms of that agreement will govern the relevant project or service.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
Any failure to enforce a provision shall not constitute a waiver of the right to enforce it later.
11 /Project and Service Terms
The following terms apply to projects and services provided by HDH Tech Solutions, unless otherwise agreed in writing.
11.1Project Initiation
Work will generally commence after the client has accepted the proposal, supplied the required information and materials, and paid the agreed advance or initial fees.
Project timelines depend on the agreed scope, timely receipt of client materials, feedback, approvals, and any third-party dependencies.
11.2Scope of Work and Additional Requirements
The project scope, deliverables, estimated timeline, fees, and other agreed requirements will be documented in the applicable proposal or written agreement.
Any additional functionality, revisions beyond the agreed scope, new integrations, or other work not included in the original scope may require a separate estimate, revised timeline, or written change request.
11.3Payments and Taxes
Clients must pay the fees according to the payment schedule stated in the approved proposal, invoice, or service agreement.
Payments may be made using the methods communicated and accepted by HDH Tech Solutions. Applicable taxes will be charged in accordance with the relevant laws.
Where tax deduction at source (TDS) or a similar withholding obligation applies, the client must comply with applicable requirements and provide the relevant certificate or documentation within the prescribed timeframe.
11.4Late Payments
If a payment is overdue, HDH Tech Solutions may provide written notice requesting payment. Where permitted by the applicable agreement and law, we may suspend work or services until outstanding amounts are paid.
Any late-payment interest, collection costs, or other charges must be expressly agreed in writing and comply with applicable law.
11.5Client Responsibilities
The client is responsible for providing accurate project information, content, images, branding assets, credentials, and approvals required to complete the project.
The client confirms that they own, or have the necessary permissions and licences to use, all materials supplied to HDH Tech Solutions for inclusion in the project.
Delays in providing required materials, feedback, or approvals may affect the project timeline and delivery schedule.
11.6Intellectual Property and Ownership
Unless otherwise agreed in writing, HDH Tech Solutions retains ownership of its pre-existing tools, reusable components, frameworks, methods, libraries, and other materials developed independently of the client's project.
Ownership or usage rights for project-specific designs, source code, content, and other deliverables will be governed by the approved proposal or written agreement.
Where the agreement provides for the transfer of ownership of specified deliverables, that transfer will generally take effect after full payment of all applicable fees, subject to any third-party licences and rights.
Third-party themes, plugins, stock images, fonts, software, and other licensed materials remain subject to their respective licence terms.
11.7Use of Third-Party Materials
If a client does not supply required images, fonts, or other assets, HDH Tech Solutions may propose suitable third-party or stock materials where agreed.
The use of such materials will be subject to the applicable licences, permissions, and fees. We will not knowingly represent unlicensed third-party material as the client's property.
The client is responsible for ensuring that materials they supply or specifically direct us to use may lawfully be used for the intended purpose.
11.8Project Cancellation
If a client wishes to cancel a project during development, the client should provide written notice.
Fees for work already performed, approved expenses, and any cancellation charges expressly agreed in the proposal or contract may be payable, subject to applicable law.
Advance payments will be handled in accordance with the agreed payment and cancellation terms. No provision in this section overrides any mandatory refund rights under applicable law.
11.9Confidentiality
Both parties should take reasonable steps to protect confidential information shared during a project and use it only for the purposes for which it was provided, subject to applicable law and any separate confidentiality agreement.
11.10Non-Solicitation
Any non-solicitation obligations between HDH Tech Solutions and a client must be expressly agreed in writing, including their duration, scope, and applicable exceptions.
12 /Website Maintenance and Recurring Services
Where HDH Tech Solutions provides monthly or annual maintenance, support, hosting, or other recurring services, the applicable proposal or service agreement will specify the fees, service scope, payment schedule, renewal terms, and cancellation requirements.
Unless otherwise agreed in writing:
- Maintenance fees cover only the services and support expressly included in the selected plan.
- Additional development, major upgrades, new features, or work outside the plan may be charged separately.
- The client is responsible for paying invoices according to the agreed schedule.
- If a payment is overdue, we may provide notice and suspend or discontinue affected services as permitted by the service agreement and applicable law.
- Any automatic renewal, recurring payment arrangement, or payment method must be disclosed and agreed upon before it is activated.
- Clients wishing to cancel a recurring service must provide notice in accordance with the applicable agreement.
- Refunds, termination charges, and outstanding balances will be handled in accordance with the applicable service agreement and applicable law.
13 /Termination of Services
HDH Tech Solutions or the client may terminate a service in accordance with the relevant proposal, maintenance agreement, or written contract.
Where appropriate, a party may provide written notice of a material breach and a reasonable opportunity to remedy it before termination.
Upon termination, the client remains responsible for fees due for services performed and authorised expenses incurred up to the effective termination date, subject to the applicable agreement and law.
Any transfer of website files, source code, credentials, or other deliverables following termination will be handled in accordance with the relevant agreement, payment status, security requirements, and applicable third-party licences.
